On 25 July 2025, Merchants Capital and Alshareef & Partners co-hosted a workshop titled “Opportunities for Public Offering and Debt Instruments Issuance,” with the participation of Saudi Tadawul Group.
The workshop brought the financial and legal perspectives together, walking companies through the regulatory framework and the opportunities available in the Saudi capital market, whether they are looking to go public or to issue debt instruments.
Highlights from the workshop
- The IPO journey in three phases: readiness and strategy, preparation and approvals, then execution and listing.
- How the financial advisor and legal counsel work side by side, from readiness assessment to listing.
- Getting ready: a clear business model, a five-year plan, a clean ownership and asset structure, and board-level governance.
- Sukuk as the leading debt instrument in the Kingdom, and how flexible structures meet different financing needs.
- Convertible and exchangeable instruments, special purpose entities, and multi-series sukuk programmes.
